Terms of Service

1. Acceptance of Terms

By creating an account or using Heftli you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the service.

These Terms are governed by Swiss law. The contracting party is Spofibo GmbH, Switzerland.

2. Description of Service

Heftli provides invoicing, time tracking, and business management software for freelancers, agencies, and small businesses. We reserve the right to modify, suspend, or discontinue features of the service at any time, with reasonable notice where practicable.

Legal and Tax Disclaimer: Heftli is a software tool, not a legal or tax advisor. You are solely responsible for ensuring that your invoices, Swiss QR Bills, VAT calculations, and other financial documents comply with applicable law in your jurisdiction. We recommend consulting a qualified accountant or legal advisor for jurisdiction-specific requirements.

Free plan accounts that have had no activity for 12 consecutive months may be suspended with 30 days prior email notice. Data will be retained for a further 30 days after suspension to allow export, then permanently deleted.

3. User Accounts

• You must be at least 16 years old to use this service
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activities that occur under your account
• You must provide accurate and complete information and keep it up to date
• You must not use the service for illegal purposes
• You must not share login credentials across multiple individuals; each user must have their own account

4. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, harmful code, or interfere with the service
• Attempt to gain unauthorised access to the service or other users' accounts
• Interfere with or disrupt the service or its infrastructure
• Use the service to send spam or unsolicited commercial communications
• Create fraudulent invoices, fictitious transactions, or falsify financial records
• Misuse the Swiss QR Bill feature in violation of SIX Payment Services rules or applicable Swiss payment standards
• Use the service in any sector that requires specialised data processing agreements beyond those provided (e.g. healthcare data under Swiss HMG) without a separate written agreement

5. Payment Terms

• Subscription fees are billed in advance (monthly or annually)
• All fees are non-refundable except as required by law or as stated in section 6
• We reserve the right to change pricing with 30 days prior notice by email
• Failed payments may result in service downgrade or suspension after a grace period
• Prices are shown exclusive of VAT; applicable VAT will be added at checkout

6. Refund Policy

We offer a 30-day money-back guarantee for first-time paid subscribers. Contact us at hello@heftli.com within 30 days of your first payment for a full refund. Subsequent subscription periods are non-refundable.

7. Intellectual Property

The service and its original content, features, and functionality are owned by Spofibo GmbH and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our software or content without written permission.

8. User Content

• You retain full ownership of the data and content you create in Heftli
• You grant us a limited licence to store, process, and transmit your content solely to provide the service
• You are responsible for the accuracy and legality of the content you create
• We may remove content that violates these Terms or applicable law

9. Data Processing Agreement

This section constitutes the Data Processing Agreement (DPA) between you (as data controller) and Heftli (as data processor) for the purposes of GDPR Article 28 and Swiss nFADP, covering personal data you enter about your own customers and contacts.

9.1 Our Obligations as Processor

• Process your customers' personal data only on your documented instructions and solely to provide the service
• Not sell, rent, or use your customers' data for any other purpose
• Ensure that personnel with access to personal data are bound by confidentiality
• Implement appropriate technical and organisational security measures (see section 5 of the Privacy Policy)
• Notify you without undue delay of any personal data breach affecting your customers' data
• Delete or return your customers' data upon termination as described in section 10
• Provide reasonable assistance to help you fulfil data subject requests (access, erasure, portability)

9.2 Your Obligations as Controller

• You confirm that you have a lawful basis under applicable data protection law to enter your customers' personal data into the service
• You are responsible for your own compliance with GDPR, nFADP, or any other applicable privacy law as data controller
• You are responsible for notifying your own customers about how their data is processed (including its storage in Heftli)
• You indemnify Heftli against claims arising from your customers' data to the extent such claims result from your failure to comply with applicable data protection law

9.3 Sub-processors

We engage the sub-processors listed in section 4 of our Privacy Policy (Supabase, Cloudflare, Stripe). We will notify you of any material changes to our sub-processor list with 30 days notice.

10. Termination

We may terminate or suspend your account immediately if you materially breach these Terms. You may cancel your subscription at any time via the Billing settings page or by contacting us.

Upon termination: your right to access the service ceases immediately. You have a 30-day window after termination to request a data export (contact privacy@heftli.com). After 30 days, all your data will be permanently deleted, except billing records which are retained for 10 years as required by Swiss law (OR Art. 958).

11. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or secure operation of the service. We are not responsible for any loss of data arising from circumstances outside our control.

12. Limitation of Liability

To the fullest extent permitted by Swiss law, Heftli (Spofibo GmbH) shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or business interruption. Our total aggregate liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

13. Force Majeure

Heftli is not liable for any delay or failure to perform its obligations under these Terms caused by events beyond our reasonable control, including but not limited to: infrastructure outages (Cloudflare, Supabase, or other third-party providers), natural disasters, governmental actions, internet disruptions, or other force majeure events. We will notify you of such events and resume service as promptly as reasonably practicable.

14. Privacy and Cookies

Your use of the service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and protect your data, including our Data Processing Agreement obligations and our use of cookies.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland, excluding conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of the canton where Spofibo GmbH is registered.

16. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes (those that affect your rights or increase your obligations), we will provide at least 30 days advance notice by email. If you do not cancel your account before the new terms take effect, you are deemed to have accepted them. Non-material changes (e.g. clarifications, formatting) may be made without notice and will be reflected in the "last updated" date above.
